Clients are responsible for:

• Timely payment of fees

• Maintaining website access and permissions

5. Payment Terms

5.1 Fees and Payment

Service fees are as specified in individual agreements. Payment terms are typically net 30 days unless otherwise specified. Late payments may incur interest charges as permitted by Thai law.

5.2 Currency and Taxes

All fees are quoted in Thai Baht (THB) unless otherwise specified. Applicable taxes will be added to invoices as required by Thai tax law.

5.3 Refunds

Refunds are provided only in accordance with our refund policy, which will be detailed in individual service agreements. Generally, refunds are not provided for services already delivered.

6. Intellectual Property

6.1 Client Content

Clients retain ownership of their content, including website content, images, and business information. We may use client content solely for the purpose of providing agreed services.

6.2 Our Intellectual Property

All methodologies, tools, reports, and other materials created by us remain our intellectual property unless otherwise agreed in writing.

6.3 Third-Party Content

We respect third-party intellectual property rights and expect clients to do the same. Clients are responsible for ensuring they have rights to any content they provide to us.

7. Confidentiality

This confidentiality obligation survives termination of our service relationship.

8. Limitation of Liability

To the maximum extent permitted by Thai law, our liability for any claims arising from our services is limited to the total amount paid by the client for the specific services giving rise to the claim.

We are not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

Clients agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Client's breach of these Terms
• Client's violation of applicable laws
• Client's infringement of third-party rights
• Content provided by the client

10. Termination

10.1 Termination by Either Party

Either party may terminate services with 30 days written notice, unless otherwise specified in individual agreements.

10.2 Immediate Termination

We may terminate services immediately if the client breaches these Terms or fails to pay fees when due.

10.3 Effect of Termination

Upon termination, all outstanding fees become immediately due. Confidentiality obligations continue as specified in Section 7.

11. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.

12. Governing Law and Disputes

These Terms are governed by the laws of Thailand. Any disputes will be resolved through the courts of Chiang Mai, Thailand, or through binding arbitration if both parties agree.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

14. Entire Agreement

These Terms, together with any individual service agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
